1. Introduction and Acceptance of Terms 

By completing the registration process, becoming a member, or utilizing the technology, services, or Designated Center provided by Her Power Space, "The Client" agrees to be bound by all of the terms and conditions herein and any subsequent modifications or amendments. Her Power Space reserves the right to change or update these Terms at any time. Changes or updates of these Terms will appear on the Website and/or be communicated to The Client and are effective immediately. Continued use of the Website or receipt of Services after any such changes constitutes your consent to such changes and updates. If The Client does not agree to all of these terms and conditions, The Client should not use the Her Power Space services.

Her Power Space is dedicated to fostering an environment where members can "CONNECT, COLLABORATE & CREATE CASH FLOW UNAPOLOGETICALLY". These terms are designed to ensure a productive and respectful environment for all members.

2. Core Business Solutions and Services 

Her Power Space offers a comprehensive suite of core business solutions and services designed to support the professional needs of its members. These key offerings include:

• Meeting Rooms & Coworking: Access to shared coworking spaces and reservable meeting rooms for member use.

• High Speed Internet: Provision of high-speed internet access within the Her Power Space facilities.

• Google Listing Assistance: Support or guidance for members in establishing or managing their Google Listing.

• Business Mailing Address with Suite Number (Virtual Office): The ability to use Her Power Space’s address as a professional business mailing address, complete with a unique suite number.

• Private Offices: Access to dedicated private offices for members requiring more secluded workspaces.

• Event Spaces: Availability of dedicated areas suitable for various events hosted by members.

3. General Rules and Member Conduct 

To ensure a positive and productive environment for all, The Client agrees to adhere to the following rules and regulations:

• All coworking day pass, private offices and event spaces must be reserved on the calendar .

• Workstations must be cleaned at the end of each session. Uncleaned workstations will be charged a $50 janitorial fee.

• Any damages caused by clients and their guests will be billed to the clients account.

• Service animals only are permitted within the facilities.

• Clients must be 18 years and older to conduct business on site.

• The Client must comply with any Her Power Space Rules and Regulations which Her Power Space imposes generally on users of the designated Center. Such rules are developed and/or imposed to protect The Client’s use of the designated Center for work.

• The Client must comply with all relevant laws and regulations in the conduct of its business. The Client must do nothing illegal in connection with its use of the Designated Center. The Client must not do anything that may interfere with the use of the Designated Center by Her Power Space or by others, cause any nuisance or annoyance, increase the insurance premiums Her Power Space has to pay, or cause loss or damage to Her Power Space (including damage to reputation).

4. Important Disclaimers and Limitations of Liability 

Her Power Space or “The Provider” shall provide the services selected by The Client on a non-exclusive basis. These terms and conditions include:

• The Client’s Agreement that the services are provided “as is”, as available and without warranty.

• The Client’s Agreement that Her Power Space has no liability regarding the services.

• The Client’s consent to release and hold harmless Her Power Space from all liability based on claims arising under this Agreement or the use of the services.

• The Client’s Agreement to indemnify Her Power Space from claims due to The Client's use or inability to use the services.

• To the maximum extent permitted by applicable law, Her Power Space will not be liable for any loss sustained as a result of Her Power Space’s failure to provide a service as a result of any mechanical breakdown, strike, or termination of Her Power Space’s interest in the building containing the Designated Center. The Client expressly and specifically agrees to waive, and agrees not to make, any claim for damages, direct, indirect, punitive, special or consequential, including, but not limited to, lost business, revenue, profits or data, for any reason whatsoever arising out of or in connection with this Agreement, any failure to furnish any service provided hereunder, any error or omission with respect thereto, or any interruption of services.

5. Fees and Payment

• No refunds will be issued for services provided.

• The Client agrees to pay promptly (i) all sales, use, excise and any other taxes and license fees which The Client is required to pay to any governmental authority (and, at Her Power Space’s request, will provide to Her Power Space evidence of such payment) and (ii) any taxes paid by Her Power Space to any governmental authority that are attributable to the accommodation, where applicable.

• The Client agrees that funds can and will be automatically deducted from The Client’s account at scheduled intervals to cover The Client’s subscription fees for products or services.

• The Client is in agreement that late payments for any services or membership fees could result in service interruption and/or account termination. Her Power Space reserves the right to interrupt or terminate services of accounts which do not comply with the regulations set forth in this agreement. The Client further agrees that until any past due debts or dues are paid in full services will not be restored.

• Her Power Space reserves the right to invoice and charge The Client for any fees that include but are not limited to scheduled recurring charges as well as one time payments (one-off, non-recurring payment) whether it is scheduled or at the time of the use of service.

6. Cancellation Policy

• Cancel Anytime - once you notify us of a cancellation, no future payments will be taken.

• The Client agrees that upon expiration, cancellation or termination of this Agreement, The Client will not file a change of address order with the USPS. The Client and Her Power Space further agree that upon expiration, cancellation, or termination of this Agreement, The Client authorizes Her Power Space to accept and destroy or return any “Unsolicited Mail” and any mail addressed to The Client that is delivered for a period of time thereafter.

7. Virtual Office and Mail Handling Services

• The Client may use the designated Center address (Her Power Space’s address) as its business address, complete with a unique suite number.

• The Client is not permitted to use the address of the designated Center as their registered office address unless permitted by law and by Her Power Space and (if relevant) by local compliance rules. Any other uses are prohibited without Her Power Space’s prior written consent.

• The Client agrees that The Client will not use the Mail Processing Services for any unlawful, illegitimate, or fraudulent purpose, or for any purpose prohibited by U.S. postal regulations.

• Clients must comply with any local postal regulations, such as those governing Commercial Mail Receiving Agencies (CMRA), including furnishing a completed and fully NOTARIZED USPS Form 1583.

• Each individual or entity must complete a separate United States Postal Service Form 1583 (“Form 1583″) to be authorized to receive any form of mail or packages at the Mailbox.

• Her Power Space will receive The Client’s mail and packages during the time that The Client’s account is active.

• The Client agrees to use the proper mailing address format given to The Client when The Client signs up for the Service. Her Power Space has no liability for any undeliverable mail resulting from improper address or address formats.

• Her Power Space reserves the right to determine what mail is unacceptable and to refuse mail at any time per our discretion. Unacceptable mail includes but is not limited to: hazardous goods, materials, or liquids, perishable items, drugs, and other dangerous or unlawful materials. Her Power Space reserves the right to deem any mail unacceptable through Her Power Space's definition of what is an acceptable, quantity, or size limitation.

• Her Power Space is not responsible for currency delivered to the Center. The Client acknowledges and understands that The Client and The Client’s senders send currency through the mail at The Client's and their own risk, and that The Client solely assumes that risk.

• Her Power Space will not be responsible for any delayed, missing, or damaged mail for mail forwarding services (if offered). Her Power Space does not guarantee mail tracking information and does not guarantee delivery. Mail forward requests may not be canceled once Her Power Space has received the request and refunds will not be granted.

 

8. General Agreement Clauses

• Ending this Agreement immediately: To the maximum extent permitted by applicable law, Her Power Space may put an end to this Agreement immediately by giving The Client notice and without need to follow any additional procedure if (a) The Client becomes insolvent, bankrupt, goes into liquidation or becomes unable to pay its debts as they fall due, or (b) The Client is in breach of one of its obligations which cannot be put right, or (c) its conduct, or that of someone at the Center with its permission or invitation, is incompatible with ordinary office use which shall be determined at Her Power Space’s sole discretion and (i) such conduct is repeated despite The Client having been given a warning or (ii) such conduct is material enough (in Her Power Space’s opinion) to warrant immediate termination. If Her Power Space puts an end to this Agreement for any of these reasons it does not put an end to any outstanding obligations.

• If the Center is no longer available: In the event that Her Power Space is no longer able to provide the services at the designated Center stated in this Agreement then this Agreement will end and The Client will only have to pay monthly fees up to the date it ends and for the additional services The Client has used [similar to 15.2.5]. Her Power Space will try to find a suitable alternative for The Client at another Her Power Space location (if applicable) [similar to 15.2.5].

• Notices: Any notice shall be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid. It is the responsibility of The Client to keep their contact details up to date with Her Power Space.

• Confidentiality: The terms of this Agreement are confidential. Neither Her Power Space nor The Client may disclose them without the other’s consent unless required to do so by law or an official authority. This obligation continues for a period of 3 years after this Agreement ends.

• Applicable law: This Agreement is interpreted and enforced in accordance with the law of the place where the relevant Center is located. All dispute resolution proceedings will be conducted in the country, state or province where the Center is located. If any provision of these terms and conditions is held void or unenforceable under the applicable law, the other provisions shall remain in force.

• Data Processing: Her Power Space may collect and process personal data from and of The Client to administer contractual relationships, ensure compliance with applicable laws and regulations, and enable Her Power Space to provide its services and to manage its business. The Client acknowledges and accepts that such personal data may be transferred or made accessible to all entities of Her Power Space’s group, wherever located, for the purposes of providing the services herein.
